China Sales Contracts. Do You Know Where Your Law Is?
2008-09-12 18:14:00 Will Lewis over at Experience Not Logic (ENL) does an excellent job explaining a somewhat difficult but important legal concept in the international sale of goods. The concept is choice of law and the point of ENL's post, entitled, "Sales To and From China. What Does Your Choice of Law Clause Look Like?" is that companies frequently intend to have their contracts operate under one law, but mistakenly write their contracts in a way that some other law will apply. Let me explain. With few exceptions, the Uniform Commercial Code (UCC), Section 2, governs the domestic sale of products in the United States. With few exceptions, international product sales contracts are governed by the United Nations Convention on Contracts for the International Sale of Goods (CSIG), if the contract is between companies from countries that have signed on to CSIG. Both China and the US are signatories, as are nearly all other leading commercial nations. But here is where companies make their mis...

AIG faces SEC probe on subprime mortgage contracts: report
(Reuters)
2008-06-08 22:06:00 Fri Jun 6, 2:44 AM ET (Reuters) - The U.S. Securities and Exchange Commission is investigating whether American International Group Inc (AIG.N) overstated the value of contracts linked to subprime mortgages, the Wall Street Journal said on Friday, citing people familiar with the matter. The way AIG valued credit default swaps, including those backed by subprime mortgages, is at issue, the newspaper said. Prosecutors from the U.S. Department of Justice and the U.S. attorney's office in Brooklyn, New York have asked for information the SEC is gathering, which could signal a criminal investigation, the newspaper said. AIG, the SEC, the Justice Department and the U.S attorney did not immediately return calls seeking comment. According to the newspaper, an AIG spokesman said the company would co-operate in regulatory and governmental reviews on all matters. Credit protection costs have risen for AIG, the world's largest ...

Investing View: Why Small Contracts Can Lead to Big Profits During Turbulen
2008-06-02 08:30:00 There?s an old adage in business that big contracts command big headlines. But bigger isn?t always better. All too often, companies that focus only on big contracts discover there are very lean stretches between contract awards. And that affects the predictability of their earnings. That?s why here at Money Morning we?re more interested incompanies that can secure a lot of smaller contracts on a consistent basis - and that can transform those deals into predictable, double-digit growth. We refer to these modest-contract specialists as the “Masters of the Small Bid.” Let me explain? As we?ve stated, the companies we?re targeting aren?t characterized…

Investors betting on firms that could win rebuilding contracts
2008-05-15 02:18:00 Investors betting on firms that could win rebuilding contracts By Goh Eng Yeow INVESTORS have started buying up stocks that are likely to win extra business in the massive reconstruction effort that is expected to follow the deadly Sichuan earthquake. Shares of steel, aluminium and building-materials firms listed in Shanghai and Hong Kong shot up sharply yesterday on expectations that these businesses are in line for lucrative reconstruction contracts. In Singapore, traders bought big on financial instruments called covered warrants linked to Hong Kong-listed China Railway Construction, one of the mainland’s biggest construction firms. These warrants give investors an option to buy into China Railway Construction until September. If the company wins a big Chinese government contract, these investors stand to gain. As fresh details of the devastation emerged, traders began to realise the extent of likely rebuilding efforts - especially given China’s strong position to...

Surprising candor from Coach Zorn on contracts
2008-05-06 03:02:00 First, in case you missed it, the Redskins started OTAs (Organized Team Activities -- like twister and tag and if no one gets hurt they get capri suns when it is all over with pb and j sammiches (no crusts!!)) sans the rookies. Gary Fitzgerald says: With the three-day mini-camp over, the Redskins moved right into voluntary Organized Team Activity sessions on Monday. Gone were the rookies, 23 in all, and tryout players. Rookies returned to their respective colleges to complete their spring classes. Most will return in early June for a final series of OTA practices. Word on offense growing pains is that the team is struggling slightly with the apparently long snap counts we plan to employ this coming season. If the Seahawks could make it work at Qwest field under the loudest conditions in the NFL, I have every faith we can make good under Coach Zorn on handling our business at scrimmage. Now, if we could just pipe in some crowd noise... Kidding. I think piping in crowd noise is chic...

China Contracts: To Arbitrate Or Not To Arbitrate, That Is The Question.
2008-05-05 01:37:00 Though I got a bit of grief for saying it before, I will say it again, arbitration clauses fascinate me. As I said in a previous post on this topic, entitled, "So Ya Say You Wanna China Arbitration, Well You Know": I can nearly always judge the legal thought that went into an agreement through its arbitration/litigation provision alone. I usually can instantly tell from just that one provision whether the contract was drafted by a lawyer or not, and if it was drafted by a lawyer, whether that lawyer knows international law. Mistakes in this critical provision are rampant. Huge mistakes. In that post, I listed some of the arbitration/litigation clause mistakes I had seen recently and I have a brand new one to add to that list. I got a call a few weeks back from a company wanting to discuss some of the things it could do with its OEM (Original Equipment Manufacturing) contract to protect itself from bad China product I mentioned that we typically put an arbitration provisi...

Youth & Contracts: Should Markakis and Jones Get Their Big Deals Now?
2008-05-02 15:39:00 The erstwhile Ian of Sox and Dawgs sent me this little piece that was featured on the CNNsi.com website the other day on both Nick Marakakis and Adam Jones from featured writer, Paul Heyman that was featured on Buster Olney's blog. From CNNsi: "Most major-league teams are working to sign their best young players to multi-year deals. But right now, the Orioles' internal philosophy is to wait for at least three years before discussing a multi-year deal with the likes of Adam Jones and Nick Markakis.Surprising, isn't it? If the Orioles eschew long-term deals, their best players will be much more expensive when the team is ready to compete. Markakis, their star player, will be up for arbitration after this season. Maybe he won't get the $10MM Ryan Howard did, but $7MM seems reasonable. There were already rumblings that Markakis was angered by this year's $55K raise."I think Adam Jones has plenty of time on his side to earn a contract, so I'll omit him from the conversation; how...

NFL Rookie Contracts Are Out of Control…Still
2008-04-23 07:29:00 NFL rookie contracts are going to destroy the league’s salary structure. I touched on this last year, but since the league has no intention of coming up with a solution (which is good news for Jake Long), I’ll rant about it again. In case you haven’t heard, the Dolphins just made Jake long the highest paid lineman in the league. He has played zero NFL games. For those who think it’s a good deal for Miami, take a look at the offensive lineman who have been drafted in the top 5 since 2001: Joe Thomas, Levi Brown, D’Brickashaw Fergeson, Robert Gallery, Mike Williams, and Leonard Davis. Of those six, Williams and Gallery have been complete busts, Thomas looks like a future star, Davis is a solid player but at guard not tackle, and the jury is still out on Fergeson and Brown. It’s a small sample size, but it’s not exactly the evidence you’d like to see before making a rookie the highest paid lineman in the league. The problem for the D...

Orlando Cabrera Contracts Talks Will Wait
2008-04-16 11:08:00 According to Mark Gonzales of the Chicago Tribune, the White Sox will not have further contract discussions with shortstop Orlando Cabrera until after the season. While an extension is still possible at that time, the chances seem to decrease as he reaches the cusp of free agency. Often when a guy is that close, he'll then say he wants to explore the market. Cabrera makes $9MM this year, with the Angels paying $1.5MM. It's a solid price for the Sox, but Cabrera has to be looking for three years and at least $20MM. He'll turn 34 in November, so it'd be a risky move. Alexei Ramirez is the only viable replacement in the organization, but he's no sure thing. Kenny Williams could consider other free agent shortstops, of which there are a handful of decent options. Gonzales' article also has one line about the Sox waiting until season's end to consider an extension for Joe Crede. An extension would surprise me, but I could see them sticking...

Agree2.com - Contracts, Your Way - SendMeRSS
2008-04-10 21:41:00 Agree2.com - Contracts, Your WayWhat it doesAgree2 grasps an interesting and potentially provocative concept: user created legally binding contracts. We've all had to sign that hard-to-understand, possibly written in another language, scary-looking contract. These contracts are the kind we're too afraid to quarrel with because we fear lawyers and legal repercussions, such as the ubiquitous lawsuit or a visit from the IRS or some such monstrosity. Agree2 wants to simplify the contract, take it out the hands (or sometimes claws) of lawyers, and put them back where they belong—between you and your partners. There's no need to have agreements that are indecipherable. With Agree2, you can create your own contracts, use public templates, or use already existing agreements, all of which can be edited until both parties agree to the terms. You make the terms. It's that easy.In their own words"Agree2 lets you, your clients and partners to take back control of your agreements and contra...
