How Not To Write A Joint Venture Agreement
2012-01-11 04:28:00
Many moons ago, a company contacted us wanting to sue its Chinese joint venture partner for having "clearly" violated their joint venture agreement. We looked at their case and advised them not to bother pursuing it. It had nearly every hallmark of the China deal gone bad, due almost entirely to the fault of the American company. Here were just some of its shortcomings: The contracts between the Chinese and the American company were drafted by one lawyer. A local lawyer in the small town in which the joint venture is located? Who do you think this lawyer favored. The joint venture was supposed to fulfill all sorts of obligations to the American company. In fact, it was these obligations that made the joint venture so tempting to the American company. But, the contracts were written so that these obligations were attached to the Chinese company that was entering into the joint venture, not to the joint venture itself. The Chinese company that had these obligations was (unlike the...

How To Write A China (CIETAC/BAC) Arbitration Clause
2011-11-07 12:48:00
Chinese companies are more and more often requiring a China venue dispute resolution clause. In other words, they are refusing to sign contracts unless they provide for disputes to be resolved in China. In some cases, you will be better off in a Chinese court and in other cases you will be better off arbitrating in China. We typically look at the following factors, among others, in deciding whether to go with arbitration or litigation: The nature of likely disputes; The importance of being able to preserve evidence; The likelihood of needing injunctive relief' The quality of the court being sought by the Chinese party or of the court most likely to hear the case; The power/influence of the Chinese party. In those instances in which we write arbitration in China clauses for our clients, we typically push for the following: 1) A CIETAC (China International and Economic Trade Arbitration Commission) or BAC (Beijing Arbitration Commission) arbitration.  These are the two most hi...

Yesterday I attended my first day school for the Open University’s A215 Creative Writing course. It wasn’t as scary as I thought it was going to be; we spend about 45 mins talking about ourselves and our writing influences, then did a sequence of exercises, which started small (a body part – mine was the bicep) and developed into an interesting narrative (I ended up writing about a soldier). This is my second OU course, I just finished AA100 The Arts Past and Present at the end of September. I won’t know my final result until December, but completing it was a big achievement for me. I’ve abandoned several courses over the years, I even dropped out of uni when I was 18. It’s so easy to quit when it gets tough, to talk myself out of continuing, to give myself excuses not to carry on. Weirdly enough, I’ve wasted hundreds of pounds on ditched courses, but this time I received funding to cover the course so I didn’t have to pay a penny tow...

A Suburban Dad's Guest Blog: The Reason I Write
2011-06-15 18:07:00
By Rick KaempferFather's Day is coming up this weekend, and Father's Day has always been a bittersweet day for me. I enjoy the couple of minutes in the morning that the boys are nice to me, saying their coached words about appreciating me. Those are nice moments. But Father's Day also reminds me of my own father. You see, Father's Day weekend was his birthday too, which doubles the memories. And it was also around the time we lost him in the summer of 1989, which triples them.  Dad's death had a profound influence on me. It was probably the most important moment of my life. It was the moment that turned me into a writer.Let me see if I can explain....

Now More Than Ever: Just Write
2011-05-19 19:42:00
Writers are as different as the stories they produce, and their ideal writing environments vary no less. One thing most writers agree on, though, is that one of the toughest challenges is overcoming distraction. At WordPress we’ve always believed that when you’re using the application, the focus should be on what’s most important — your content. In the spirit of making things faster and simpler, today we are introducing a couple of changes to your dashboard that will make it easier for you to just write. A Fresher, Faster Dashboard The most noticeable change is that the dashboard looks a little different. Nothing drastic, just a little facelift intended to make managing your content easier. Moving the left menu up means more room if you tend to keep a couple of sections open at the same time. Fiddling with the font sizes in the header also created more vertical space, so you can make your writing window/post box bigger on the editing screens (you can drag the...

How-To: Write a GOOD Hyperlocal Blog Post
2011-03-28 01:13:00
This post is dedicated to those of you with good blogging intentions. You know who you are. You started that community focused blog that everyone told you would be an instant hit, but now the blog is live and you haven’t written much of anything at all. It’s all good…every blogger (aka “Content Creator”) has glared at the computer monitor trying to recall a post idea only to allow yourself to be distracted by the dog, the kids, the glass of wine. Becoming a content creator is tough (at first), so here are a few tips that may make the process of writing your next community-focused post much easier. Create a Blog Topic List First, if you don’t already have a blog topic list now’s the time to start one. This is a list of topics you are passionate about and that your audience can benefit from. And when it comes to writing hyperlocal content your list could include: Arts (theatre, gallery, performance) Business (newly opened, changed locations, bargains, specials) Charity ...

Rahm May Have until Feb. 15 To File as Write In Candidate

-By Warner Todd Huston As reported earlier, Rahm Emanuel has been thrown off the ballot by a decision by an Illinois Appellate Court stating that Emanuel did not satisfy the residency requirement since he did not live in Chicago over the last year. This presents several major problems for Emanuel's candidacy. First of all, it seems pretty sure that his name will not be actually printed on the ballot no matter what the Ill. Supreme Court does with this case. The ballot printing deadline is supposed to be next Monday, January 31 and it is highly doubtful that the Ill. Supreme Court can hear the case and make a decision in time to get his name printed on the ballot....

Lori has decide that there are other things to do and other things in her life that currently take precedence. I for one will miss Lori's excellent playing and hope it's just an extended hiatus, but wish her well on her future musings. Lori Linstruth: I?m going to be making some massive changes here, and want to give my current readers ? all five of you ? fair warning. But first, some background: I started writing on the web about my passion for guitar 2003, and moved from a static website to this blog in 2006. In 2007 I went through a major depressive episode (or burnout or nervous breakdown or whatever you want to call it). Bouts of depression have dogged me pretty much as long as I can remember, but the Great Darkness of 2007 was worse than anything I could imagine. It was truly life-changing. I won...

Finding the Strength to Write
2010-09-23 16:13:00
So I haven't been blogging lately. It's not for lack of ideas. Certainly, with things like the DC election and Education Nation and Waiting for Superman going on, there's been a lot to write about on the national scene. And at SLA, we've started our first year without the first class. We have made major changes in the way we get work done to better distribute leadership to the people who want to get the work done, we are using GoogleApps for the first time, we have a new walk-through protocol that is all Google-Driven that makes it much easier for me to give feedback, and we are learning what it means to be a school that actually can feel like we know what it feels like to have four years done and can really start reflecting on practice deeply and start revising ideas and begin, in earnest, the transition from start-up to sustainability. And then there's this idea that I've been kicking around about where and how we should be talking about education reform in this country. The...
Alaska Senator Launches Ill Advised write-in Campaign
2010-09-18 06:29:00
-By Warner Todd Huston Talk about sore losers. We are starting to see the GOP country club set getting petulant, aren't we? First was pouter Mike Castle who lost his incumbency to Tea Party insurgent Christine O'Donnell in Delaware. Castle is refusing to back the voter's choice and he's gone off whining about the tough campaign that O'Donnell waged. Boo hoo, Mickey, boo hoo. Now we get sore loser Lisa Murkowski of Alaska pulling her own little stunt. She just lost her Senate seat to another Tea Party backed candidate, Joe Miller. But instead of acquiescing to the will of the voters, Murkowski is petulantly launching a write-in campaign for herself! Miller was also endorsed by Murkowski rival former Governor...
Write the Novel You Want to Read, Part 2
2010-08-27 11:23:00
In Part One of this series, I argued that the one indispensable ingredient to the success of a novel is enthusiasm. Before you can expect people to buy your book, they have to be excited about it, and to get them excited about it, you have to be excited about it. The other huge advantage to writing a book that you?re excited about is that it?s much easier to market. Those of who have witnessed my marketing onslaught for Mercury Falls may be surprised to learn that I absolutely abhor sales. I?m probably the worst salesperson in the history of humankind. And yet, I have no problem wholeheartedly recommending my book at every opportunity because it?s a book I believe in. I don?t mean that I believe that it will sell millions of copies; I have no idea how many people will ultimately want to read it. It?s not a book calculated to generate sales; it?s simply the best book I could write, and as such it?s something that I want to share with people. I?d stack that enthusiasm against the col...
Write the Novel You Want to Read
2010-08-23 22:51:00
Since my success with self-publishing my first novel, Mercury Falls, I am occasionally approached by other aspiring authors looking for guidance. It's somewhat telling, I suppose, that these writers never actually ask for writing advice; apparently they are either pretty sure of their own ability or aren't particularly impressed with mine. In any case, what they always ask for is marketing advice.I usually toss a few ideas out (make a website for your book, get on Facebook, get on Twitter, etc.) and then I say, "One of these days I'm going to do a series of posts on Mattress Police about promoting a self-published book." Now that I have another book out that I'm promoting, I figure this is probably a good time to start that series.*Before I start giving marketing advice, however, you're going to have to sit through some writing advice, for the simple reason that the best marketing in the world isn't going to help a book that nobody wants to read. The following essay originally...

Chances are you haven't written many letters.  You've probably written an occasional thank you note or birthday card.  Many of you probably write e-mails, text messages, and send instant messages.  But when was the last time you wrote a letter and put it in the mail... just because?  Yeah.  I know.  Nobody writes letters anymore.  It's outdated.  I'm old.  You think I've lost it, and want to stick to your tech-savvy messages.  Well, sometimes being outside the girl box means doing things just a little bit differently.  Trust me, I practially live on Facebook and Twitter.  I my e-mail box is almost always open.  I can text with the best of them.  There's just something different about writing a...
AICPA webinar: The Future is Write Now
2010-04-26 21:21:00
Last week, the AICPA published my latest marketing column, which previews my May 11th webinar: AICPA/PCPS The Future Is Write Now: How Marketing Your Expertise Must Change! My column excerpt is below; or click here to read the published column in the AICPA ‘CPA Insider’. The purpose of all marketing writing is two-fold, R&R: It must help you be more Remembered and trigger Response. To enable the right response, e.g., Referrals, your writing must Repeat a simple “call to action.” In other words, what do you want the Reader to do? When should they take action? Why should they choose you? Often, a prospective client or referral source won’t drop everything to give you a call (or give your number to someone else). Rather, you must be Remembered at the right time (“trigger moment”). Moreover, there must be a Reason for them to Recommend you. Beyond your personality, your Reputation increases as you distinguish your expertise, while Keeping It Short & Simple ...

Bears write new sequel to Dumb and Dumber in loss to Packers
2009-12-14 00:12:00
The Bears put up a pretty good fight against Green Bay (9-4). They were 2-for-2 in the red zone and held the Packers to 13 points in their three trips inside the red zone. But that wasn't enough to overcome 13 penalties for 109 yards, a lot of miscommunication on pass routes, and another major gaff by Lovie Smith. With the Bears trailing 21-14 in the fourth quarter, Greg Olsen caught a 25-yard pass on third-and-22, only to drop it when he hit the ground. Instead of challenging the call, Lovie called timeout and then decided to drop the challenge flag, costing the Bears a second timeout. It made no sense, but then we've come to expect that from this...

Hiring bloggers to write positive for you ? pros and cons
2009-11-24 19:37:00
Recently one of our clients mentioned a recommendation by an online marketing agency on how they can hire 4-5 people who will start blogs and comment among one another to strike up a positive conversation in the blogosphere (different than having a ghost writer to write for you). The idea is tempting and you might just even get sold on it, if you are a newbie on social media marketing. You control the message. The bloggers are yours. Yet to the outside world, the effort is going to be seen as passionate fans of your brands/ organisation writing positive about your brand or organisation.
