Today I had a long conversation with a couple of out of town lawyers who had called me regarding whether their client should shut down its China Representative Office and form a WFOE. My advise was that there was no need to do so from a legal perspective (because the company was that rare and dying beast: a truly legal China Rep Office), but it should ask itself whether it still made sense from a strictly business perspective. I then talked of how WFOEs are able to do so much more in China than Rep Offices, not least of which is get paid in RMB. I concluded by saying that the decision would be strictly business. Spoke last week with a long-term client. I asked him how things were going for his company in China these days and his response was "good and bad." This is a company that makes product in China strictly for US sales. Product sales are good, he told me, and on that front not much has changed. On the labor/employment front, however, is where things are "getting interesting." Two K Mart employees sued the store today alleging that they were discharged in retaliation for complaining of privacy invasion after being secretly videotaped. According to the complaint, plaintiffs Ewa and Andrzej Maliszewski were maintenance workers at the Bloomingdale, Illinois K Mart store where their duties included emptying the garbage.  The complaint states that they noticed several discarded videotapes while emptying the garbage, watched the tapes and observed their changing area and the staff-only locker room area among the areas videotaped. The article gives facts behind what many of us already knew: "the number of labor disputes heard by courts has skyrocketed this year." I knew it because my firm's handling of such matters has probably just about doubled in just the last three months. According to the numbers, employee cases have increased by 59 percent over last year. The article rightly ascribes this increase to three things: 1) the economic downturn; 2) "Ever since the implementation of the Labor Contract Law in January 2008, workers have become more aware of their rights and the legal avenues available to safeguard them:" and 3) A reduction of costs for such suits to at most 10 yuan. J.G. Wentworth has laid off 120 employees according to a report in today's Philadelphia Business Journal, citing a required filing with the Pennsylvania Department of Labor and Industry.According to the J.G. Wentworth website the "cash now pusher" went from 100 employees in 2005 to 200 employees in 2006. Now in 2008 there appears to be a SIGNIFICANT CONTRACTION in its workforce.One wonders if this has anyting to do with S&P's recent downgrade of J.G.
