Many moons ago, a company contacted us wanting to sue its Chinese joint venture partner for having "clearly" violated their joint venture agreement. We looked at their case and advised them not to bother pursuing it. It had nearly every hallmark of the China deal gone bad, due almost entirely to the fault of the American company. Here were just some of its shortcomings: The contracts between the Chinese and the American company were drafted by one lawyer. A local lawyer in the small town in which the joint venture is located? Who do you think this lawyer favored. The joint venture was supposed to fulfill all sorts of obligations to the American company. In fact, it was these obligations that made the joint venture so tempting to the American company. Groupon has now re-assesed its valuation and has arrived at a figure of $11 billion which is less than half of their earlier valuation. Now, Ananya and Udayan Bubna who started  Sosasta.com and were CEO and COO respectively of  its re-branded avatar have quit to start another e-commerce venture.                   The Bubna brothers started a digital media start-up called Friday Media in 2009 which owned Sosasta.com. With Groupon’s entry and eBay’s foray into group buying it was only a matter of time before we saw some activity from SnapDeal.  The group buying site which recently disclosed that it has saved its customers over Rs.5 Crores since its inception has closed a Series B round of funding in which it raised $12 Million from Nexus Venture Partners and IndoUS Venture Partners. In mid-2010 the company acquired Grabbon and has hinted that some more acquisitions could be on the way. It has reportedly set aside $2 Million for domestic acquisitions. Private Equity funds (including Venture Capital funds) are largely structured under a “2 and 20″ business model. This will run through a quick example about how it works from the Limited Parter and General Partner perspective. Limited Partner (LP): Invest money in the fund and include: pensions, investment managers, high-net worth individuals, etc. General Parter (GP): Select companies for investment and manage the portfolio until exit is realized (IPO, strategic sale, recapitalization) The 2/20 model says that the GPs receive a 2% management fee on committed capital (in this case, $100m) and 20% of any realized capital gains. The LPs, on the other hand, invest $100m into the fund and receive their initial investment plus 80% of the gains. These percentages can change, but they are fairly standard in the industry.
